Practice Description

Ron Compton has assisted entrepreneurs in the acquisition of companies for many years. In particular he assists management of existing companies to purchase the equity of the current owner. As an Electrical Engineer and Registered Patent Attorney he has a unique grasp of the special problems faced by purchasers of intellectual property assets. The acquisitions are commonly of companies with intellectual property forming a major part of the assets.  He can assist the buyers in both the tax and intellectual property aspects of patent and trade secret assets being purchased. Mr. Compton can assist in the creation of tax advantaged acquisition vehicles to minimize the after tax cost of the acquisition. He can structure stock option plans and many types of unique approaches to financing a business purchase. His experience in representing financial institutions aids the entrepreneur in dealing with mezzanine and other lenders to fashion covenants that a company can live with in difficult cash flow periods. Mr. Compton has substantial experience in non-compete disputes which are unfortunately a common occurrence in technological companies with key employees.

Mr. Compton has represented over twenty financial institutions. This representation includes the very small to nearly a billion dollar institutions. This experience covers every aspect of loan documentation and negotiation, participation agreement for large multi-lender and multi-jurisdictional loans, regulatory compliance, workouts, holding company and shareholder disputes, as well as asset foreclosure, deficiency collection and the sale and purchase of the institutions. He routinely deals with Uniform Commercial Code banking transactions such as negotiable instrument law, forged or altered indorsements, check kiting, clearing house issues and various forms of theft detection, internal and external.  He has also served as a financial institution director.

Mr. Compton has lectured at the Missouri Society of CPA's and in many other Bar Association and other forums on various tax and computer matters. While he is not normally involved at the initial audit level, he has substantial experience in many complex tax issues at the appellate level. Mr. Compton has assisted many CPA's with problem issues. He is registered to practice before the United States Tax Court. This experience helps Mr. Compton structure solutions to business problems with an approach which will both solve the business problem and avoid tax problems before they reach the examination and disallowance stage.

Mr. Compton is an Electrical Engineer and a Registered Patent Attorney.  He has passed the Missouri Professional Engineering Examination.  His area of practice is in programming and he works with several of the more common languages.  In particular his work is in the area of wide area networking and high speed fiber optic multiplexed networking.  He has assisted many inventors in the creation, patent prosecution and licensing of their ideas.  He has worked with many website issues, in particular, vulnerability, uptime, TCPIP issues such as excess latency and packet loss, VOIP issues and telephony as well as financial institution mainframe software issues.  He has substantial experience in litigation of software issues both in the procurement and specification thereof as well as representation of software suppliers.  Mr. Compton has prepared and negotiated contracts in nearly every aspect of computer software and hardware for all levels from mini computers to wide area networks to mainframes.
